本章程自2017年5月联盟成立之日起生效，最新修订版本经2024年会员大会审议通过。全文八章三十三条，所有条款仅经会员大会表决可修改。
第一条 本联盟名为"商业创新与经济发展联盟"，英文名称为 Alliance for Business Innovation and Economic Development，英文简称 ABIED。
第二条 本联盟为在香港依法登记成立的非营利国际研究机构，遵守香港特别行政区法律法规及本章程。
第三条 本联盟宗旨：以长周期视角开展商业战略与宏观经济研究，促进亚太区域的长期主义研究文化与健康商业生态。
第四条 本联盟住所：香港中环德辅道中71号永安集团大厦21楼。
第五条 组织与开展商业战略与宏观经济领域的长周期研究课题。
第六条 评选与颁发商业战略与经济洞察奖（BSEIA）。
第七条 运营研究与咨询委员会（ICRC），管理学术职务体系与研究成果发布。
第八条 面向会员单位与公共机构提供独立的战略咨询与诊断服务，相关收入全部回流公益课题池。
第九条 组织年度学术论坛、圆桌评审会、出版物发布等学术交流活动。
第十条 本联盟设普通会员、资深会员、荣誉会员、机构会员四类。
第十一条 会员应当认同本联盟宗旨，遵守本章程，按时缴纳会费（荣誉会员除外）。
第十二条 会员享有选举权、被选举权、表决权，参与联盟组织的学术活动与出版物编写。
第十三条 会员应当维护联盟名誉，不得利用联盟名义从事任何营利性或政治性活动。
第十四条 会员有退出自由。严重违反本章程者由理事会审议并报会员大会批准后除名。
第十五条 会员大会为本联盟最高权力机构，每两年召开一次常会，由理事会负责召集。
第十六条 理事会由会员大会选举产生，共十五席，任期四年，可连任一届。理事会对会员大会负责。
第十七条 监事会由会员大会选举产生，共五席，独立于理事会，负责监督财务使用与治理合规。
第十八条 研究与咨询委员会（ICRC）为本联盟学术事务的独立机构，对理事会负责但其学术判断不受理事会干预。
第十九条 秘书处为联盟日常行政中枢，由理事会聘任秘书长一名，任期四年。
第二十条 本联盟资金来源包括：会员会费、定向捐赠、咨询服务收入、合作研究资助。
第二十一条 本联盟所有资金仅用于章程规定的业务范围，不得用于分配。
第二十二条 本联盟每年委托独立审计机构对财务进行审计，审计报告提交会员大会审议并对全体会员公开。
第二十三条 任何单笔超过港币50万元的支出须经理事会事前审议批准。
第二十四条 本联盟所有课题立项、评审、结题由 ICRC 独立完成，任何赞助方与合作机构均不得干预研究判断。
第二十五条 本联盟发布的研究报告应当注明所有数据来源，允许公开核验。
第二十六条 本联盟每年发布一份年度旗舰报告《亚太商业环境年度观察》，不因任何事由延期或删改。
第二十七条 本联盟所有已结题课题的主要判断与关键变量向会员与社会公开，以便长期回望与检验。
第二十八条 本联盟奉行"一会一章"原则：整个联盟只设一枚总章，即联盟本身。
第二十九条 一切对外签发、颁发、授予事项，落款与用章主体均为联盟本身。任何内设委员会、议题组、议事机构均不作为对外签发主体。
第三十条 对外文书、证书、聘书均须经秘书处登记备案后方可生效。
第三十一条 本章程的修改须经会员大会到会会员三分之二以上同意。
第三十二条 本章程的解释权归联盟理事会。
第三十三条 本章程自会员大会通过之日起生效。本次修订版本于2024年11月经会员大会审议通过。
This Charter has been effective since ABIED's establishment in May 2017. The latest revision was reviewed and approved by the 2024 General Assembly. It contains eight chapters and thirty-three articles, and may be amended only by a vote of the General Assembly.
Article 1 The Alliance is named Alliance for Business Innovation and Economic Development, abbreviated as ABIED.
Article 2 ABIED is a non-profit international research institution legally registered in Hong Kong and governed by applicable laws and this Charter.
Article 3 ABIED's purpose is to conduct long-cycle research in business strategy and macroeconomics and promote a healthy long-term research culture in Asia-Pacific.
Article 4 ABIED is located at 21/F, Wing On House, 71 Des Voeux Road Central, Central, Hong Kong.
Articles 5-9 ABIED organizes long-cycle research projects, presents the BSEIA award, operates ICRC, provides independent advisory services whose income returns to the public-interest research pool, and hosts forums, review roundtables, and publication events.
Articles 10-14 ABIED has regular, senior, honorary, and institutional members. Members recognize ABIED's mission, observe the Charter, enjoy participation and voting rights where applicable, protect ABIED's reputation, and may withdraw freely. Serious violations may lead to removal after review.
Articles 15-19 The General Assembly is the highest authority. The Council manages strategy and daily governance; the Board of Supervisors oversees finance and compliance; ICRC independently manages academic affairs; the Secretariat handles administration and external affairs.
Articles 20-23 Funding comes from membership dues, donations, advisory income, and research support. All funds are used only for chartered purposes, audited annually, and major expenditures require Council approval.
Articles 24-27 All research approval, review, and completion decisions are independently handled by ICRC. Reports must cite data sources, allow verification, and make completed project judgments available for long-term review.
Articles 28-30 ABIED follows a single-seal principle. External documents, certificates, and appointments are issued in the name of ABIED itself and must be registered by the Secretariat.
Articles 31-33 Charter amendments require approval by two-thirds of attending members at the General Assembly. The Council holds the right of interpretation. This revision was approved in November 2024.
